Essential Functions:
This is an in-house general counsel job and the job holder is responsible for the effective and efficient management of the Group’s Legal Department, provision of legal advisory services and ensuring effective management of legal and contractual risks for the whole group of companies.
  • Advise the Directors and management of the companies/ group in relation to corporate legal matters/ issues.
  • Monitor the group’s litigation matters closely with the external lawyers.
  • Attend to all technical and/or conveyancing matters of the Group.
  • Handle corporate and legal matters with emphasis on company business and contract laws and responsible to manage and assist in all legal administration and matters in all aspects of the legal performance of the group of companies such as: conveyancing, corporate, advisory, litigation, insurance, contract related matters, tribunal/dispute resolution and any other procedures related to any claims.
  • Lead & develop the Group’s legal matters through risk management and legal implications.
  • To provide legal advice and support to the Group and top management in all legal, operational and contractual matters, litigations, commercial law, employment, M&A projects and participate in any due diligence procedures in the course of business investment, analysing the documentation and drafting the necessary reports.
  • Drafting, reviewing and negotiating the terms of any contracts and agreements (commercial, services, sale-purchase, lease, consultancy, non-disclosure agreements, employment, joint Venture, acquisitions, tenancies, sales and purchase of land/Properties etc.) and other legal documents for various requirement of the group of companies, including assistance for the extension, amendment or termination. Advise on any contracts and agreements to be entered into by the Group and its companies in various jurisdictions.
  • Intellectual property protection, as per the applicable laws, including without limitation registration and protection of trademarks, patents, etc.
  • To perform legal research and to keep abreast of applicable laws relating to the Group’s operations and advice on the impact of such changes on operations.
  • Manage exposure of the Group’s legal risks and enhance the Group’s commercial and other interests in accordance with local statutory requirements.
  • To manage and coordinate with external solicitors and other third party advisors on Group’s legal matters on specialised or complex legal matters.
  • Represent the Group in front of the courts, notaries public or other judicial, administrative or public authorities or in relation with any other physical or legal persons.
  • Enhance the efficiency and effectiveness of the legal services to maximize the growth opportunities of the Group’s business.
  • Resolving contractual and commercial problems whilst working with contract and procurement head/managers. Offering direction and instruction with regard to any legal matters.
  • Discovering matters which are not compliant with regulation practices and making suggestions for improvements.
  • Maintains a deep understanding of contract templates, contracts policy, legal risk and liability, and Group's position on various matters.
  • Prepares contracts for internal review and approval and ensures compliance with Group's policies as well as applicable laws or regulations.
  • Participates in any meetings of the Group's representatives with clients, business partners or other persons, if necessary.
  • Offer counsel on a variety of legal issues & advise executives within the company and work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, Human Resources, and other Corporate Divisions.
  • Advise executives on contract status, legal risks and business terms of various deals and explain legal language.
  • Provide assistance with global joint ventures, strategic partnership deals, and mergers and acquisitions.
  • Ensure legal objectives are met and keep abreast of legislative changes that may affect the company and its affiliates.
  • Perform pre-litigation work to minimize risks and maximize legal rights.
  • Review advertising and marketing materials to ensure compliance with legal requirements.
  • Develop solutions to complex legal questions.
  • Provide training to company and its affiliates on substantive legal topics.
  • Any other legal issues, as required by the Group’s representatives, as per the legal provisions in force.
Requirements
  • Candidates must possess at least a Bachelor's Degree, Professional Certificate in Law or equivalent and those with Master’s Degree will be an added advantage.
  • Candidates should be a member of Malaysian Bar.
  • The Senior Legal Manager must have between 7 to 10 years working experience in Corporate Law / Legal background, especially in handling legal issues, contract negotiation, business arrangement and the law field preferably in industry, especially in the property development and construction industry, with minimum of 3 years managerial experience.
  • Familiar with Housing Development procedures and Conveyancing practices.
  • Must have thorough knowledge of general corporate legal issues and strong drafting skills.
  • Superior negotiating and organizational skills.
  • Efficient presentation and excellent communication and interpersonal skills able to communicate at all levels.
  • Decisive with solid problem solving, decision making and analytical capabilities;
  • Good analytical skills and sound legal judgment to support business needs.
  • Ability to multi-task, work independently and have a strong commitment to ensure corporate/ legal compliance.
  • Good command of both spoken and written English and Bahasa Melayu.
